Terms of Service

First of all, we at Talenthub would like tothank you for using Talenthub.io. Please read these terms of service (“Termsof Service”) carefully as they will form basis for signing up with us.These Terms of Service will govern your access to and use of our platformavailable at Talenthub.io and any updates, modified versions, extensions,improvements and derivative works of the foregoing (collectively the “service”).Talenthub A/S is a Danish based company and in these Terms of Service, we willrefer to ourselves as “Talenthub” or “we/us”. By creating anaccount and signing up on the service, accessing and/or using the service, youirrevocably agree to the Terms of Service. These terms govern your use of andTalenthub’s provision of the Service. If you do not accept these Terms ofService, you may not create an account on, access or use the Service.

“You” means the entity you represent inaccepting these Terms or Service or, if that does not apply, you individually.If you are accepting on behalf of your employer or another entity, yourepresent and warrant that: (i) you have full legal authority to bind youremployer or such entity to these Terms of Service; (ii) you have read andunderstand these Terms or Service; and (iii) you agree to these Terms ofService on behalf of the party that you represent.


1.    User Account Registration

(a)   Account Registration andUse License: In order to access and use all of the features of the Service,you are required to open an account (“User Account”) by registering withTalenthub. When you register for your User Account you must provide true,accurate, current and complete information (“Account Information”), andyou agree to update the Account Information in order to ensure that it iscurrent. Upon proper registration and opening of a User Account, and subject toall of the terms and conditions of these Terms of Service, Talenthub herebygrants to you the personal, non-transferrable right and license to use theService, solely for your own internal business purposes, until such time aseither you or Talenthub elect to terminate such right in accordance with theseTerms of Service.

(b)  Eligibility: As anexpress condition of being permitted to open a User Account, you represent andwarrant that you (i) have the legal capacity (including, without limitation,being of sufficient age) to enter into contracts under the law of thejurisdiction in which you reside and (ii) are not in a list of persons barred youfrom receiving services under Danish laws or other applicable jurisdiction.

(c)   Credentials: Uponregistration for a User Account, you will provide Talenthub with a user ID andpassword to access your account. You are responsible for maintaining theconfidentiality of your password and for all of your activities and those ofany third party that occur through your account, whether or not authorized byyou. You agree to immediately notify Talenthub of any suspected or actual unauthoriseduse of your User Account. You agree that Talenthub will not under anycircumstances be liable for any cost, loss, damage or expense arising out of afailure by you to maintain the security of your password.


2.    Fees; Term and Termination

(a)   Fees: Some features ofthe Service may only be accessed and used upon payment of applicable fees (“Fees”).Fees may vary depending on usage and/or the plan you have chosen in accordancewith our current pricing policy available in the Service or on the Site. Allfees are exclusive of taxes, levies or duties imposed by taxing authorities,and you are solely responsible for payment of all such taxes, levies or duties.

(b)  Refunds, Upgrading and Downgrading:Refunds are processed according to our fair refund policy. Any charges in yourService usage that results in any new, increase or decrease in Fees will becharged at the next billing cycle. The Fees are non-cancellable andnon-refundable (except if this agreement is terminated by You for Talenthubmaterial breach, in which case Supplier will refund any prepaid fees coveringthe remainder of the then-current Subscription Term).

(c)   Cancellation and Terminationby You: You are solely responsible for properly cancelling your subscription.Notice for termination needs be in writing send to hello@talenthub.io or to your candidate experience specialist, with notice period beingthe end of current month in which Talenthub has received the notice plus 30days.[TK1] [CRT2] [TK3] [CRT4] 

(d)  Termination and Suspensionby Talenthub: Talenthub may terminate your User Account and/or these Termsof Service at any time and for any reason upon notice to you. We may alsosuspend our Service to you at any time with or without cause. If we terminateyour User Account without cause, we will refund you a prorated portion of yourmonthly prepayment. We will not refund you or reimburse you if we terminateyour User Account for cause, including (without limitation) for a violation ofthese Terms of Service or the Acceptable User Policy.


3.    Your Use of the Service andRestrictions

(a)   Account and Use of Service:You may use under your User Account for the Service only for lawful purposes,and only in accordance with these Terms of Service and Acceptable Use Policy.You acknowledge that you have read, understand and agree to Talenthub’sAcceptable Use Policywhich is found below[CRT5] [CRT6] [TK7] , and [CRT8] hereby incorporated into and made a part of these Terms of Service bythis reference.

(b)  Acceptable Use: Youshall not use or access the Service to: (i) advertise, promote materials orsolicitation related to any product or service that is competitive withTalenthub products or services, including without limitation, the Service; (ii)transmit or transfer (by any means) information or software derived from theService to foreign countries or certain foreign nations in violation of Danishexport control laws, or (iii) to violate or attempt to violate the security ofthe Service or Talenthub’s or any third party’s system or network security inany way. In addition, you agree not to, directly or indirectly: (A) reverseengineer, decompile, disassemble or otherwise attempt to discover the sourcecode, object code or underlying structure, ideas or algorithms of the Serviceor any software, documentation or data related to or provided with the Service(“Software”); (B) modify, translate, or create derivative works based onthe Service or Software; or copy (except for archival purposes), rent, lease,distribute, pledge, assign, or otherwise transfer or encumber rights to theService or Software; (C) use or access the Service to build or support, and/orassist a third party in building or supporting, products or servicescompetitive to Talenthub; (D) remove any proprietary notices or labels from theService or Software; or (E) otherwise use the Service or Software outside ofthe scope of the rights expressly granted herein. You agree to use the Serviceand Software only for your own internal business operations, and not totransfer, distribute, sell, republish, resell, lease, sublease, license,sub-license or assign the Service or use the Service for the operation of aservice bureau or time-sharing service.

(c)   Your Use of The Service toSend Communications: You acknowledge that (a) you exclusively areresponsible for and control the timing, content, and distribution of alltelephonic or electronic communications made or initiated to any person orentity in connection with your use of the Service, and (b) any suchcommunications are made or initiated only as a result of your actions. Youfurther warrant that all telephonic or electronic communications made orinitiated in connection with your use of the Service comply with all applicableforeign, EU and Danish laws and regulations.

(d)  Your Responsibilities:You are responsible and liable for all uses of the Service under your UserAccount and associated User Account credentials, including without limitation,compliance with all applicable laws and regulations and third party terms.


4.    Our security and data privacypractices

(a)   Data Privacy:Talenthub’s Privacy Policy is listed below, and is incorporated into and made apart of these Terms of Service by this reference.

(b)  Data Processing Addendum:If you are a paying subscriber to the Service, to the extent that Talenthubprocesses any personal information (as defined in the DPA) contained in UserContent that is subject to the Data Protection Legislation (as defined in theDPA), on your behalf, in the provision of the Service, the terms of the dataprocessing addendum that is found below (“DPA”), are hereby incorporated byreference, shall apply and the parties agree to comply with such terms.

(c)   Standard ContractualClauses: To the extent that Talenthub processes any personal data subjectto the European Union General Data Protection Regulations (“GDPR”) andyou are the data exporter, you’re agreeing to these Terms of Service shall betreated as signing the Standard Contractual Clauses and their Appendicesattached to the DPA for purposes of any transfer of personal data subject toGDPR in connection with the Service.

(d)  Security: We implementand maintain physical, technical and administrative security measures designedto protect the Service and User Content from unauthorized access, destruction,use, modification or disclosure at a level not materially less protective thanas described in the Security at Talenthub page.


5.    Terms that Apply to Your Data

(a)   Your Data: You willretain ownership of any data, information or material originated by you thatyou transmit through the Service ("User Content") – for example, UserContent from your accounts with Third Party Services that passes through theService. By transmitting User Content through the Service, you hereby grant to Talenthubworldwide, non-exclusive, limited term license to access, use, process, copy,distribute, perform, transmit, export and display User Content and to accessyour User Account, as reasonably necessary: (i) to provide, maintain, operateand update the Service and to provide customer support for the Service, (ii) toprevent or address service, security, support or technical issues, or (iii) asrequired by law.

(b)  Your Posts: The Servicemay include functionality that permits users to post, upload or transmitcontent in a manner that is intended to be viewed by other users (“YourPosts”). Your Posts exclude User Content. By submitting Your Posts to theService, you hereby grant to Talenthub a perpetual, irrevocable, royalty-free,worldwide, non-exclusive right and license, including the right to grantsublicenses to third parties, to use, reproduce, publicly display, publiclyperform, prepare derivative works from and distribute Your Posts for anypurpose. Talenthub may exercise all copyright, publicity and moral rights, inany media, with respect to Your Posts.

(c)   Your Data ComplianceObligations: You shall be solely responsible for the accuracy, quality,content, transmission and legality of User Content and Your Posts, and anyactions triggered by User Content. You represent and warrant that (i) you haveobtained all necessary rights, releases and permissions to transmit UserContent through the Service and for any actions triggered by User Content, postYour Posts on the Service and to otherwise have User Content and Your Postsused as described in these Terms of Service, (ii) User Content, Your Posts andtheir transmission, processing, posting and use as you authorize in these Termsof Service will not violate any laws or regulations, the Acceptable Use Policyor any Third Party Services terms, and (iii) none of Your Posts will constituteobscene, pornographic, indecent, profane or otherwise objectionable material.

(d)  No Prohibited SensitivePersonal Data: In addition you may not access or use the Service to post,upload or transmit, or incorporate any data that is subject to heightenedprivacy and security requirements by law or regulations or applicable ThirdParty Services terms, including, without limitation, any financial or medicalinformation of any nature, any sensitive personal information (e.g. governmentissued numbers, driver’s license numbers, birth dates, personal bank accountnumbers, passport or visa numbers, credit card numbers, passwords and securitycredentials), or any special categories of personal data under GDPR.

(e)   Enforcement: Talenthubreserves the right, but does not undertake the obligation, to monitor theService and to investigate and take appropriate legal action against any partythat uses the Service in violation of applicable law, these Terms of Service orthe Acceptable Use Policy. Talenthub reserves the right to accept, reject ormodify any User Content or Your Posts but assumes no liability based on itsacceptance, rejection, modification or failure to modify any User Content orYour Posts.

6.    Property Rights and Improvingthe Service

(a)   Talenthub Service: By makingthe service available [CRT9] no ownership right is conveyed to you. We and our licensors have andretain all right, title and interest, including all intellectual propertyrights, in and to the Service, including all modifications, updates, upgrades,extensions, components and all derivative works to the Service. All our rightsnot expressly granted under these Terms of Service are hereby retained.

(b)  Suggestions: From timeto time at your sole discretion, you may choose to provide suggestions,enhancement requests, recommendations or other feedback related to the Service(“Suggestions”) to us. You hereby grant to Talenthub a royalty-free,worldwide, transferable, sublicensable, irrevocable, perpetual license to useor incorporate any Suggestions into the Service and/or other Talenthubproducts, services or offerings.

(c)   Improving the Service:Notwithstanding anything to the contrary set forth herein or otherwise,Talenthub will have the right to collect and analyze data and other informationrelating to the provision, use or performance of the Service and relatedsystems and technologies (including information concerning the use of UserAccount and data derived therefrom), and to aggregate and/or de-identify allsuch data and information. Talenthub will be free at any time to: (i) use suchinformation and data to improve and enhance the Service; and (ii) disclose suchdata in aggregate or other de-identified form in connection with its business.

(d)  Trademarks: Talenthub, TalenthubLogo and all Talenthub product names are trademarks and services marks of Talenthub(collectively “Talenthub Trademarks”) and third-party logos andproduct names are trademarks and service marks of third parties (collectively “ThirdParty Trademarks”) and nothing in these Terms of Service shall be construedas granting any license or right to use the Talenthub Trademarks withoutTalenthub’s prior written consent or the Third Party Trademarks. You herebygrant Talenthub the right to identify you as a customer of Talenthub and to useyour logo and/or trademark for that purpose.


7.    Linked Third Party Services

The Service may contain links to andintegrations with third party websites, applications and services (“ThirdParty Services”), and you agree that Talenthub provides links to andintegrations with such Third-Party Services solely as a convenience and has noresponsibility for the content or availability of such Third Party Services,and that Talenthub does not endorse such Third Party Services (or any productsor other services associated therewith). Access to any Third-Party Serviceslinked to the Service is at your own risk, and Talenthub is not responsible forthe accuracy or reliability of any information, data, opinions, advice orstatements made on such Third Party Services. Your use of such Third-PartyServices will be subject to the terms applicable to each such Third PartyServices. You may not post a link that directs users to any content orinformation that would constitute a violation of these Terms of Service or anyterms applicable to such Third-Party Services.


8.    Service Warranty;Indemnification

(a)   Service Warranty: Talenthubwarrants to you that it will provide the Service during the applicablesubscription substantially in accordance with its documentation under normaluse. In the event of any breach of such warranty, your exclusive remedy will beTalenthub’s re-performance of the deficient Service or, if Talenthub cannotre-perform such deficient Service as warranted, you may terminate your UserAccount as set forth above and Talenthub will refund a prorated portion of yourmonthly prepayment. You must notify Talenthub in writing of any warrantydeficiency within 10 days from receipt of the deficient Service in order toreceive the foregoing warranty remedy.

(b)  Disclaimers: Except asexpressly set forth immediately above, the service is provided strictly onan “as is” and “as available” basis, andtalenthub makes no warranty that the service is complete, suitable for yourpurpose or useful, and on behalf of itself and its licensors, Talenthub herebyexpressly disclaims any and all implied, statutory or other warranties withrespect to the service or the availability of the foregoing, including, withoutlimitation, the implied warranties of merchantability, fitness for a particularpurpose, title and noninfringement. the entire risk as to results obtainedthrough use of the service rests with you. Talenthub and its licensors will notbe liable or responsible in any way for any losses or damage of any kind incurredas a result of the use of or reliance on any material contained on the service.Talenthub makes no representation or warranty that the availability of theservice will be uninterrupted.

(C)  Your IndemnificationObligations: You hereby irrevocably agree to indemnify, defend and holdTalenthub, its affiliates, directors, officers, employees and agents harmlessfrom and against any and all loss, costs, damages, liabilities and expenses(including attorneys’ fees) arising out of or related to any claim arising fromor related to (i) your breach or alleged breach of these Terms of Service,and/or (ii) Your Posts or User Content.



To the fullest extent permitted by applicablelaw, and except for excluded claims (as defined below), neither party nor theirlicensors (and in the case of Talenthub, any Talenthub extended team) shall beliable to the other party for any (a) indirect, incidental, consequential,punitive, special, exemplary or statutory damages (including, withoutlimitation, loss of business, loss or profits, loss of revenue, loss of data,loss of goodwill or for any cost of cover or cost of procurement of substitutegoods or services), even if such party has been advised of the possibility ofsuch damages, and regardless of the legal theory under which damages aresought, whether in breach of contract or in tort, including negligence, or (b)amounts in the aggregate that exceed the fees paid by you to Talemthubhereunder in the twenty four (24) months preceding the date the claim arose.

“Excluded Claims” means (i) any amounts owed by you underFees, (ii) your indemnification obligations in these Terms of Service, and(iii) any claims that may not be capped or limited under applicable law. Theparties agree that the waivers and limitations specified in this Section 9apply regardless of the form of action, whether in contract, tort (includingnegligence), strict liability or otherwise and will survive and apply even ifany limited remedy specified in these Terms of Service is found to have failedof its essential purpose.


10.  Confidential Information

(a)   Confidential Information:Each party (“Disclosing Party”) may disclose “ConfidentialInformation” to the other party (“Receiving Party”) inconnection with the Service, which is anything that reasonably should beunderstood to be confidential given the nature of the information and thecircumstances of disclosure, as well as non-public business, product,technology and marketing information. If something is labelled “Confidential,” that’sa clear indicator to the Receiving Party that the material is confidential.Notwithstanding the above, Confidential Information does not includeinformation that (a) is or becomes generally available to the public withoutbreach of any obligation owed to the Disclosing Party; (b) was known to theReceiving Party prior to its disclosure by the Disclosing Party without breachof any obligation owed to the Disclosing Party; (c) is received from a thirdparty without breach of any obligation owed to the Disclosing Party; or (d) wasindependently developed by the Receiving Party.

(b)  Protection and use ofConfidential Information: The Receiving Party will (a) take at leastreasonable measures to prevent the unauthorized disclosure or use ofConfidential Information, and limit access to those employees, affiliates andcontractors who need to know such information in connection with the Service;and (b) not use or disclose any Confidential Information of the DisclosingParty for any purpose outside the scope of the Service and these Terms ofService. Nothing above will prevent either party from sharing ConfidentialInformation with financial and legal advisors; provided, however, that theadvisors are bound to confidentiality obligations at least as restrictive asthose in the Contract.

(c)   Compelled access ordisclosure: The Receiving Party may access or disclose ConfidentialInformation of the Disclosing Party if it is required by law; provided,however, that the Receiving Party gives the Disclosing Party prior notice ofthe compelled access or disclosure (to the extent legally permitted) andreasonable assistance, at the Disclosing Party's cost, if the Disclosing Partywishes to contest the access or disclosure. If the Receiving Party is compelledby law to access or disclose the Disclosing Party’s Confidential Information,the Disclosing Party will reimburse the Receiving Party for its reasonable costof compiling and providing access to such Confidential Information as well asthe reasonable cost for any support provided in connection with the DisclosingParty seeking a protective order or confidential treatment for the ConfidentialInformation to be produced.


13.  Notices

Talenthub may give notice applicable toTalenthub’s general Service customer base by means of a general notice on theService portal, and notices specific to you by electronic mail to your e-mailaddress on record in your User Account. You are responsible for ensuring thatyour contact information is accurate and up to date in your User Account. Ifyou have a dispute with Talenthub, wish to provide a notice under these Termsof Service, or become subject to insolvency or other similar legal proceedings,you must promptly send written notice to Talenthub by e-mail(hello@tallenthub.io) and send a physical copy to Talenthub.io A/S,Skudehavnsvej 1, stuen tv, 2150 København, Denmark; Attn: Legal.


14.  Modifications to Terms of Service

Talenthub expressly reserves the right tomodify the Terms of Service at any time in its sole discretion by includingsuch alteration and/or modification in these Terms of Service, along with anotice of the effective date of such modified Terms of Service. If a revisionmeaningfully reduces your rights, we will use reasonable efforts to notify you(by, for example, through your User Account or in the Service itself). To theextent you have purchased a subscription to the Service, the modified terms willbe effective as to such subscription Service upon the earlier of (i) your nextsubscription renewal, or (ii) your acceptance of the modified Terms of Serviceby clicking “Accept” (or similar button or checkbox) at the time you arepresented with the modified Terms of Service. If you object to the updatedTerms of Service, as your exclusive remedy, you may choose not to renew,including cancelling any terms set to auto-renew. In all other cases, anycontinued use by you of the Service after the posting of such modified Terms ofService shall be deemed to indicate your irrevocable agreement to such modifiedTerms of Service.


15.  General

These Terms of Service and the policies orterms expressly referenced and incorporated into these Terms of Service, (e.g.the Acceptable Use Policy) constitute the entire agreement and understandingbetween the parties concerning the subject matter hereof, notwithstanding anydifferent or additional terms that may be contained in the form of purchaseorder or other document used by you to place orders or otherwise effecttransactions hereunder, which such terms are hereby rejected. Neither party mayassign these Terms of Service without the prior written approval of the other,such approval not to be unreasonably withheld or delayed, provided that suchapproval shall not be required in connection with an assignment to an affiliateor to a successor to substantially all of such party’s assets or businessrelated to these Terms of Service. These Terms of Service supersede all prioror contemporaneous discussions, proposals and agreements between you andTalenthub relating to the subject matter hereof. If any provision of theseTerms of Service is held to be invalid or unenforceable, the remaining portionswill remain in full force and effect and such provision will be enforced to themaximum extent possible so as to effect the intent of the parties and will bereformed to the extent necessary to make such provision valid and enforceable.No waiver of rights by either party may be implied from any actions or failuresto enforce rights under these Terms of Service or the Acceptable Use Policy.These Terms of Service and the Acceptable Use Policy are intended to be and aresolely for the benefit of Talenthub and you and do not create any right infavor of any third party. These Terms of Service will be governed by andconstrued in accordance with the laws of Denmark, without reference to itsconflict of laws principles. The Uniform Computer Information Transactions Actwill not apply to this Agreement. All disputes arising out of or relating tothese Terms of Service will be submitted to the exclusive jurisdiction of acourt of competent jurisdiction located in Copenhagen, Denmark, and each partyirrevocably consents to such personal jurisdiction and waives all objections tothis venue.

We created this Acceptable Use Policy to setguidelines regarding acceptable and unacceptable uses of our Services. By using or accessing our Services, youagree to this Acceptable Use Policy.


No securities violations or network abuse

You may not, and may not facilitate or allowothers to, access or use of the Services or any third-party integrations madeavailable via the Services that:

  • adversely     impacts the availability, reliability or stability of the Services or any third-party     apps that integrate with the Services, and related systems, network or     data
  • launches     or facilitates, whether intentionally or unintentionally, a denial-of-service     attack on the Services or on any third party
  • attempts     to or successfully bypasses, tampers with, breaks or circumvents any     security mechanism on the Services or any third-party apps integrated with     the Services
  • poses     a security or service risk to the Services, to any user of the Services,     to any third-party integrations made available via the Services, or to any     third party
  • tests     or reverse-engineers the Services in order to find limitations,     vulnerabilities or evade filtering capabilities, other than Talenthub’s     published Bug Bounty program
  • uses     manual or electronic means to avoid or bypass any use limitations placed     on the Services


No wrongful use

You may not, and may not facilitate or allowothers to, access or use of the Services or any third-party integrations madeavailable via the Services:

  • in     ways that misrepresents you, or disguises the origin of any content     (including by “spoofing”, “phishing”, manipulating headers or other     identifiers, impersonating anyone else, or falsely implies any sponsorship     or associating with Talenthub or any third party)
  • in     ways that may subject Talenthub or any third-party to liability, damages     or danger
  • in     ways that violates or facilitates the violation of any applicable third-party     policies or requirements
  • in     ways that violates or facilitates the violation of any local, state or     foreign law or regulation (including data privacy and export control laws)
  • to     promote or engage in or that result in any activity that exploit images or     the likeness of minors, incite physical harm or violence against others,     or is illegal, fraudulent, defamatory, libellous, obscene or threatening
  • to     harvest or collect content about others without their express consent
  • to     generate or send unsolicited communications, advertising, promotions or solicitations     (also known as spam)
  • to     solicit our users for commercial purposes, unless expressly permitted by     Talenhub
  • by     registering an account on the Services using an email of a throw-away     email address provider
  • to     create or use an account on the Services for competitive evaluation or     research


No illegal or harmful content

You may not, and may not facilitate or allowothers to, transmit, store, post, share, or otherwise provide any Content on orthrough the Services that:

  • infringes     Talenthub’s or a third party’s intellectual property or other rights,     including but not limited to, any copyright, trademark, patent, trade     secret, moral rights, rights of publicity, rights of privacy, or any other     intellectual property right or proprietary or contractual right
  • contains     viruses, trojan horses, worms or any other malicious, harmful, or     deleterious programs or code

Payment Information

When youmake a purchase on the Offerings, any credit card information you provide aspart of your Payment Information is collected and processed directly by ourpayment processor Stripe through their Stripe Checkout service. We neverreceive or store your full credit card information. Stripe commits to complyingwith the Payment Card Industry Data Security Standard (PCI-DSS) and usingindustry standard security. Your Controls and Choices

We may provide youwith the opportunity to “opt-out” of having your personal information used forcertain purposes when we ask for this information. If you decide to opt-out, wemay not be able to provide certain features of the Offerings to you.
